Acknowledgment of Responsibilities

Board of Trustees
As a member of the NJCPA Board of Trustees from June 1, 2024, to May 31, 2025, I understand and agree to carry out the following responsibilities:
- Attend the four meetings of the Board, each lasting approximately four hours each (September, December, March, May).
- Govern, monitor and interpret NJCPA policies.
- Keep current on issues and trends impacting the profession and the NJCPA.
- Ensure that the goals of the Society’s Strategic Plan are achieved.
- Approve the annual budget and oversee adherence to it.
- Control the investment policies and management of reserve funds.
- Represent the NJCPA’s interests to internal and external audiences.
- Act as a spokesperson for or represent the Society at certain events and functions when requested by the President or CEO & Executive Director.
- Provide insight/perspective on my respective constituent group.
- Agree to be assigned to a committee, interest group, task force or chapter as requested by the President and report back to the Board at each of its meetings the activities of the task force, chapter, interest group or committee.
- Contribute annually to the Scholarship Fund and NJ-CPA-PAC.
- Attend the Annual Business Meeting on June 13, 2024.
- Identify future leaders of the NJCPA.
- If I’m unable to fulfill the duties of my position or these commitments, I agree to resign in order to allow someone else to have the opportunity for leadership that will help the NJCPA grow.
- The NJCPA reserves the right to use any photograph/video of me taken at any event sponsored by the NJCPA. The NJCPA may use the photograph/video in publications including but not limited to: brochures, invitations, magazines, websites, etc.
In addition, I understand it is recommended that as a member of the Board of Trustees that I do the following:
- Visit a New Jersey high school or college to speak with students on the opportunities becoming a CPA offers to them (speaking materials are prepared by the Society).
- Attend the Scholarship Awards Ceremony in April.
President
The President shall preside at all meetings of the Executive Committee and the Board of Trustees. The President shall, unless otherwise stated in these Bylaws, appoint the chairperson and members of all committees, and task forces. The President may call Special Meetings of the Society according to Article V Section 2. The President shall be the primary volunteer spokesperson for the Society; the President shall have and may exercise all of the powers and duties as are incident to the office or may from time to time be delegated by the Board of Trustees.
As the President of the NJCPA and member of the Executive Committee from June 1, 2024, to May 31, 2025, I understand and agree to carry out the following responsibilities:
- Exercise, to the fullest extent permitted by law, all of the powers and responsibilities of the Board of Trustees in the interim between meetings of the Board.
- All actions taken by the Executive Committee shall be reported to the Board of Trustees at its next meeting.
- Attend regularly scheduled and special meetings of the Executive Committee.
- Serve as president of the NJCPA Education Foundation Board of Trustees.
- Preside at all meetings of the Executive Committee and Board of Trustees.
- Unless otherwise stated in the NJCPA Bylaws, appoint the chairperson of each committee.
- May call Special Meetings of the Society according to Article V Section 2.
- Shall have and may exercise all of the powers and duties as are incident to the office or may from time to time be delegated by the Board of Trustees.
- Serve on the NJCPA Scholarship Fund Board of Trustees, NJCPA Finance Committee, Retirement Savings Committee, and Compensation and Performance Evaluation Committee.
- Attend meetings of the following groups as deemed necessary: NJ-CPA-PAC, Committee Operations, Chapter Operations and Chapter meetings.
- Work with the Society’s lobbying firm.
- Attend all important Society events, such as: AICPA Council meetings, Chamber of Commerce Train Ride, Scholarship Awards Ceremony.
- Speak at the following events: NJCPA Convention & Expo, Opening remarks at select conferences.
- Write President’s message for New Jersey CPA (summer edition).
President-Elect
The President-Elect shall act for the President in the President’s absence or inability to serve. The President-Elect shall discharge such additional duties as the President or Board may from time to time assign.
As a member of the NJCPA Executive Committee from June 1, 2024, to May 31, 2025, I understand and agree to carry out the following responsibilities:
- Exercise, to the fullest extent permitted by law, all of the powers and responsibilities of the Board of Trustees in the interim between meetings of the Board.
- Attend regularly scheduled and special meetings of the Executive Committee.
- Attend meetings of the following groups as deemed necessary: NJ-CPA-PAC, Committee Operations and Chapter Operations meetings.
- Attend all important Society events, such as: AICPA Council meetings, Chamber of Commerce Train Ride, Scholarship Awards Ceremony.
- Serve as a member of the NJCPA Education Foundation Board of Trustees.
- Serve as a member of the NJCPA Strategic Planning Committee.
Secretary
The Secretary shall provide for recording full and complete minutes of the Executive Committee, Board of Trustees and Society meetings; act as custodian of and conduct Society correspondence; provide notice of all meetings requiring notice (i.e., Annual Meeting, Board Meetings and Special Meetings); provide for the maintenance of a register of all members; provide for proper safekeeping of the seal and affix to documents when required; and shall perform all other duties usually appertaining to this office.
As a member of the NJCPA Executive Committee from June 1, 2024, to May 31, 2025, I understand and agree to carry out the following responsibilities:
- Exercise, to the fullest extent permitted by law, all of the powers and responsibilities of the Board of Trustees in the interim between meetings of the Board.
- Attend regularly scheduled and special meetings of the Executive Committee.
- Serve as a member of the NJCPA Education Foundation Board of Trustees.
Treasurer
The Treasurer shall have oversight of the Society’s accounting, finances and investments; the Treasurer shall report on the Society’s financial status at each Executive Committee and Board of Trustees meeting; provide for preparation of the annual financial statements for audit by independent auditors; and serve as Chairperson of the Finance Committee. The Treasurer is also a member of the Investment Advisory Committee. Additionally, the Treasurer as prescribed in the Society’s bylaws and/or records will have signature authority over certain bank and investment accounts.
As the Treasurer of the NJCPA and member of the Executive Committee from June 1, 2024, to May 31, 2024, I understand and agree to carry out the following responsibilities:
- Exercise, to the fullest extent permitted by law, all of the powers and responsibilities of the Board of Trustees in the interim between meetings of the Board.
- Attend regularly scheduled and special meetings of the Executive Committee.
- Serve as a member of the NJCPA Education Foundation Board of Trustees.
- Have oversight of the Society’s accounting, finances and investments.
- Report on the Society’s financial status at each Executive Committee and Board of Trustees meeting.
- Serve as Chairperson of the Finance Committee.
- Serve as a member of the Investment Advisory Committee.
- As prescribed in the Society’s bylaws and/or records have signature authority over certain bank and investment accounts.
