Section 1202 has become one of the most valuable tax provisions for many closely held businesses, driven by OBBBA’s tiered holding periods, increased dollar limits, and New Jersey’s adoption of the federal exclusion. Despite its significance, key areas remain unresolved pending Treasury guidance. This session examines the five statutory requirements for QSBS eligibility, the issuer-level tests most likely to fail during due diligence, and Sections 1045 and 1244 planning strategies that can help reduce taxes when certain QSBS requirements are not met.

Trust & Estate Planning Insight

This session will review two significant developments that are important for CPAs to consider in their 2026 planning. First, the One Big Beautiful Bill Tax Act signed into law in 2025 contained a stealth provision which has only recently come to light. The IRS has confirmed their interpretation of the limitation on the deductions available to a trust and estate. As result of this rule, all trusts, even trusts that distribute their income to their beneficiaries or pay income to charity, will be subject to a tax, albeit small, which effectively establishes a double tax on some trust earnings. Second, the United States Tax Court issued its decision in a case involving the termination of an irrevocable trust and gift tax consequences that stem from the termination. All CPAs should consider this program if they have any involvement advising clients about trusts and estates.
